1. Introduction

Welcome to www.efficientstack.com (together with all and any subdomains the "Site"), owned and operated by Innovasoft Tech Holdings Ltd (the "Company", "we", "us" or "our"), a company duly incorporated and existing under the laws of the Republic of Cyprus (Registration Number: HE 462303), with its registered office at Block 1, 195-197 Old Nicosia-Limassol Road, Dali Industrial Zone, 2540, Cyprus.

The Site provides general information to visitors ("Visitor(s)" or "you") about the digital technology solutions and professional services offered by the Company (the "Services").

These Terms govern your access to, and use of the Site and Services made available through it, as offered by the Company, including any information, content, or limited functionalities made available through the same. These Terms constitute a legally binding agreement between you and the Company. In the event you enter into a Master Service Agreement ("MSA"), Statement of Work ("SoW"), or Software as a Service Agreement ("SaaS Agreement") with the Company, these Terms shall continue to apply to your use of the Site and Services, provided that in case of any conflict between these Terms and such agreements, the terms of such agreements shall prevail to the extent of the conflict.

The Site's primary purpose is informational, and while information about our Services is available, Visitor access is limited to specific functionalities as detailed below. The Company maintains sole discretion regarding the availability and provision of these functionalities:

  • express interest in our Services through the designated form here;
  • submit a request for the provision of assistance by Company on Services rendered (hereinafter each and collectively the "Support Request(s)") via a ticketing system or through chat (which may include automated AI-assisted responses clearly identified as such and/or responses handled by a Company representative);
  • Interact with Knowledge Base, a repository of materials, documentation, and other informational resources related to our Services and technology solutions, which may be made available from time to time in the Resources section of the Site, subject to applicable intellectual property rights and usage restrictions; and
  • Navigate the STACK Blog page, which is also available as a newsletter, to which Visitors may voluntarily subscribe by explicit consent in accordance with applicable data protection laws. Visitors may unsubscribe at any time through the unsubscribe mechanism provided in each communication.

The Company maintains absolute and sole discretion regarding whether to contact Visitors, engage in discussions, or enter into any SaaS Agreement, MSA or SoW. Any expression of interest submitted through the Site, for example but not limited to as a Support Request, or other incidental communication, does not create any obligation for the Company to respond, engage in discussions, or enter into any agreements. The Company expressly reserves the right to decline any engagement without providing reasons or enter into any agreements.

By accessing or using the Site, you acknowledge that:

  • these Terms govern your general use of the Site and Services;
  • the Company maintains sole and absolute discretion regarding whether to enter into any MSA, SoW, or SaaS Agreement with you; and
  • any expression of interest or communication by Company, through the Site or otherwise, does not create any obligation for the Company to respond or enter into any agreements.

These Terms are effective immediately upon your access to the Site and apply to all Visitors. By accessing or using the Site, you acknowledge that you have read, understood, and accept these Terms.

The Company reserves the right to modify these Terms at any time in its sole discretion. We may notify Visitors of material changes through the Site or via email up to thirty (30) days before such changes take effect, or as soon as practically possible thereafter. However, it remains your responsibility to check these Terms periodically. Your continued use of the Site following any changes constitutes your binding acceptance of such changes. If you do not agree with any part of these Terms, or any subsequent modifications thereto, your only recourse is to immediately discontinue any use of the Site.

2. Site Access and Acceptable Use

The Company grants the Visitor a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content for legitimate business or personal purposes, but always strictly in accordance with these Terms and any subsequent agreements that may be entered into between the Visitor and the Company. Unauthorized use of the Site or breach of these Terms may result in termination of this license and may subject the Visitor to legal action.

The Company reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice including, for instance, either due to technical maintenance, or to comply with Company's legal or legislative obligations. The Visitor expressly and irrevocably agrees that the Company shall not be liable to the Visitor or to any third party for any modification, suspension, or discontinuance of the Site or any part thereof, including any loss of data, content, or business opportunities resulting from such actions.

The Visitor agrees to use the Site only for lawful purposes and in a way that does not infringe the rights (including, but not limited to, any intellectual property rights) of, restrict or inhibit anyone else's use and enjoyment of the Site. Prohibited behavior includes harassing or causing distress or inconvenience to any other Visitor, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the Site.

For any official communications with the Company, Visitors must use either the communication channels available on the Site or send an email to legal@efficientstack.com (for legal matters) or info@efficientstack.com (for general inquiries). The Company reserves the right to update these contact details at any time by posting the updated information on the Site with clear details of their information or request. All official communications will be handled through these designated channels only and the Company reserves the right to verify the identity of any person making such communications. For newsletter subscriptions, Visitors may unsubscribe at any time either through the unsubscribe button provided in communications.

By accessing or using the Site, the Visitor agrees to comply with the following obligations:

  • Provide accurate, current, and complete information when submitting your request for our Services through the Site.
  • Not to use the Site or Services for any unlawful purposes, including but not limited to the violation of any local, national, or international laws or regulations.
  • Not to upload, post, email, or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site, use of the Site, or access to the Site without the express written permission of the Company.
  • Not to use any automated systems or means to access the Site, except for those provided by the Company.
  • Immediately notify the Company of any security breaches or unauthorized use of the Site that you become aware of.
  • Not to provide false or misleading information when expressing interest in our Services or when communicating with the Company through the Site.
  • Not to: (a) use the Site in any manner that could damage, disable, overburden, or impair its functionality, or interfere with any other party's use and enjoyment of the Site; or attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to the Site; or obtain or attempt to obtain any materials or information through any means not explicitly authorized through the Site.

This list of obligations is not exhaustive, and the Company reserves the right to update these obligations at any time as it sees fit and to take any action it deems appropriate, including but not limited to temporarily or permanently terminating and/or prohibiting a Visitor's access to the Site or Services for failing to comply with these obligations.

3. Prohibited Activities and Restrictions

The following activities are strictly prohibited on the Site and/or Services by its Visitors:

  • Uploading, posting, emailing, or otherwise transmitting any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.
  • Impersonating any person or entity, including, but not limited to, Company's officials, forum leaders, guides or hosts, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • Forging headers or otherwise manipulating identifiers in order to disguise the origin of any content transmitted through the Site.
  • Uploading, posting, emailing, or otherwise transmitting any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
  • Uploading, posting, emailing, or otherwise transmitting any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
  • Uploading, posting, emailing, or otherwise transmitting any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
  • Interfering with or disrupting the Site or Services, or servers or networks connected to the Site or Services, including but not limited to: (a) attempting to gain unauthorized access, (b) transmitting malicious code or malware, (c) conducting denial of service attacks, or (d) disobeying any requirements, procedures, policies, or regulations of networks connected to the Site or Services.
  • "Stalking" or otherwise harassing another, or collecting or storing personal data about other Visitors without their consent.
  • Using the Site for any purposes related to marketing without the Company's express written consent.

4. Personal Data

When expressing interest in our Services, Visitors may need to provide their personal information, which will be processed in accordance with the Site's Privacy Policy and applicable data protection laws, including but not limited to Regulation (EU) 2016/679 (General Data Protection Regulation or "GDPR"). By providing such information, Visitors acknowledge that their information will be collected and processed as described in our Privacy Policy, which forms an integral part of these Terms.

In addition to the above, the Company shall only collect personal information in the following specific circumstances and only after Visitors have voluntarily provided such information:

  • submit Support Requests; or
  • subscribe to the STACK Blog newsletter, subscription to which may be terminated at any time through the unsubscribe mechanism provided in each communication.

The collected information is processed in accordance with our Privacy Notice and used solely for the specific purpose for which it was voluntarily provided. No personal information will be collected or processed for any other purposes without obtaining separate consent from the Visitor.

The Company implements appropriate technical and organizational security measures to protect Visitors' personal information against unauthorized or unlawful processing and against accidental loss, destruction, or damage. However, no method of transmission over the Internet, or method of electronic storage, is 100% secure. Therefore, while The Company implements industry-standard security measures to protect Visitors' personal information, absolute security cannot be guaranteed.

5. Intellectual Property Rights

All intellectual property rights in and to the Site, including but not limited to content, design elements, layout, graphics, text, logos, images, interfaces, software, underlying code, related databases (collectively the "Intellectual Property"), together with all associated copyrights, trademarks, database rights and other proprietary rights protected under Cypriot and other international laws, are the sole and exclusive property of the Company or its licensors. Any rights not expressly granted to the Visitor under these Terms are reserved by the Company.

Except as expressly permitted under these Terms, you may not reproduce, distribute, modify, display, perform, transmit, publish, license, create derivative works from, transfer, or otherwise exploit any part of the Site or the Intellectual Property without the prior written permission of the Company.

Without prejudice to other restrictions in these Terms, the Visitor is strictly prohibited from:

  • using any content from the Site, for training, developing, or reverse-engineering artificial intelligence or machine learning systems;
  • Any automated data collection, data mining, scraping, or similar activities;
  • incorporating such content into automated decision-making processes that may affect individuals' rights or legitimate interests as defined under applicable Cypriot and other applicable international laws and regulations.

Any unauthorized use or infringement of the Company's Intellectual Property may result in termination of your access and may subject you to legal action under applicable laws.

If any person, including but not limited to any Visitor or any third party accessing the Site or its content, has reasonable grounds to believe that any content and/or material made available on the Site (including, but not limited to, any AI generated content or Blog Content) infringes their copyright or other intellectual property rights, they are prompted to notify the Company and report this to legal@efficientstack.com, providing detailed information about the alleged infringement, including but not limited to:

  • a clear identification of the copyrighted work or other intellectual right claimed to have been infringed;
  • a detailed description of the allegedly infringing material, including sufficient information to enable the Company to locate it on the Site;
  • notifying party's full name and contact details;
  • a statement confirming notifying party's good faith belief that the use of the material in the manner complained of is not authorized by the copyright's or other intellectual property's rightful owner or holder. The statement must be made under penalty of perjury that the information in the notice is accurate and that the notifying party is the owner or is authorised to act on behalf of the owner of the intellectual property right that is allegedly infringed; and
  • any other supporting documentation requested by the Company.

The Company hereby reserves the right, but not the obligation, to investigate such notices and take appropriate actions, including the removal of allegedly infringing content, at its sole discretion. Malicious, false or misleading notices may result in legal liability.

6. Third-Party Links and Content

The Site may contain links to and/or information from third-party websites, services, or other content (the "Third-Party Content"), including within the Resources section. Such Third-Party Content is not owned, controlled, verified, or endorsed by the Company, and the Company expressly disclaims and does not assume any responsibility for any such third-party sites or content. Access to and use of such Third-Party Content is entirely at the Visitor's own risk and subject to the respective third parties' terms and conditions, and the Visitor acknowledges and agrees to access such third-party content at their own risk.

7. Website Content and Resources

7.1 General Content

The Site contains information about the Company, Services offered, and various resources ("Resources") including:

  • Case studies demonstrating services provided to our clients;
  • The STACK Blog, offering insights, updates, and expert perspectives on technology, security, and digital transformation. Where AI-assisted content generation tools are used, such content will be clearly identified as AI-generated; and
  • Knowledge Base materials, documentation, and other informational resources related to our Services and technology solutions, which may be made available from time to time in the Resources section.

7.2 Third-Party Content

As per section 6 above, the Site may contain Third-Party Content. The inclusion of Third-Party Content does not indicate any endorsement, affiliation, partnership, sponsorship, or recommendation by the Company. These disclaimers regarding Third-Party Content continue to apply regardless of whether you enter into any specific agreements with the Company.

Access to and use of Third-Party Content is subject to that Third-Party's terms and conditions and is undertaken at the Visitor's own risk. The Company disclaims all liability related to Third-Party Content to the fullest extent permitted by applicable law.

The Company explicitly disclaims any responsibility for the accuracy, completeness, reliability, or currency of any Third-Party Content, including but not limited to websites other than the Site, services, resources, or AI-generated materials linked from or referenced on our Site.

7.3 Use of Artificial Intelligence Systems ("AI")

The Site deploys a general-purpose artificial intelligence technology ("GPAI"), such as but not limited to OpenAI, to support certain Site features such as AI-assisted chat and automated content generation (collectively "AI-Generated Content"). The Company maintains transparency about which features and content are generated by AI systems and implements appropriate risk management measures in accordance with applicable laws.

The GPAI used on the Site will not be used for any of the following activities:

  • Social scoring AI: classifying people based on behavior, socio-economic status or personal characteristics.
  • Biometric identification and categorization.
  • Real-time and remote biometric identification systems, such as facial recognition.

Visitor(s) acknowledges that AI-Generated Content is produced automatically and provided "AS IS" and may contain factual inaccuracies or errors or outdated information. The Company makes no representations or warranties, express or implied, regarding the accuracy, reliability, or completeness of such content. Use of and/or reliance on AI-Generated Content is entirely at the Visitor's own risk.

The Company reserves the right to modify, correct, or remove AI-Generated Content at any time without prior notice.

The STACK Blog, available in the Resources section of the Site (the "Blog Content"), may include or be a fully generated AI-Generated Content (which will be clearly labeled as such) or third-party contribution or editorial materials on topics such as market updates, and opinions on technology, security, and digital transformation. All such Blog Content, whether AI-Generated or not, is provided for informational purposes only and should not be construed as professional advice.

The Visitor acknowledges, understands and agrees that:

  • Any actions or decisions taken based on Blog Content, Knowledge Base Content, or any other content available through the Site are at the Visitor's own sole risk and responsibility.
  • All content featured on the Site, is provided strictly for general information purposes only and may inherently include inaccuracies, inconsistencies, or errors due to its automated nature and should not be relied upon for any professional, business, financial, legal, or technical decisions without first obtaining appropriate professional advice.

These disclaimers shall survive and continue to apply to any use of the Site's content even after termination or expiration of any agreement between the Visitor and the Company.

With respect to the AI-powered chat support feature, the Company shall clearly and explicitly inform the Visitor at the start of each interaction that they are interacting with an AI system, in accordance with transparency obligations under applicable AI regulations, and the Visitor shall have the right to request assistance from a human representative of the Company if either: (i) the AI-powered support does not adequately address the Visitor's inquiry; (ii) the Visitor prefers human assistance; or (iii) the interaction involves decisions that significantly affect the Visitor's rights or interests. Such right is to be subject to service availability and any specific terms regarding support services set forth in any subsequent and/or existing agreement(s) between the Visitor and the Company.

8. Disclaimers and Warranties

These disclaimers and warranties apply to all use of the Site and Site Materials, whether through general access or under any subsequent agreement with the Company, unless explicitly modified in such subsequent agreement. To the maximum extent permitted under Cyprus law and other applicable laws and regulations, the Company and its affiliates, officers, directors, employees, agents, partners, suppliers, service providers, contractors, successors, assigns and licensors (collectively, "Company Parties") provide the Site, including without limitation all content, functionality, features, information, materials, products, and services available through the Site, and modifications, any updates, or new features or information added to the Site (collectively, "Site Materials"), strictly on an "AS IS" and "AS AVAILABLE" basis without any warranties or representations whatsoever.

The Company Parties expressly disclaim and make no warranties, guarantees, or representations of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, non-infringement, security, accuracy, completeness, timeliness, availability, reliability or warranties arising from course of dealing, performance or usage of trade.

By accessing or using the Site or any Site Materials, visitors expressly acknowledge, agree, and represent that (i) their use is entirely at their own risk, (ii) they assume full responsibility for all risks associated with such use (iii) they are solely responsible for any damage to their computer system, mobile device, or loss of data that results from the download or use of any Site Materials; and (iv) no advice or information, whether oral or written, obtained by visitors from the Company Parties or through the Site will create any warranty not expressly stated herein.

By accessing or using the Site, visitors expressly acknowledge and agree that their use is at their sole risk and that they bear all risks associated with such use. The Company Parties do not warrant or guarantee that: (i) the Site or Site Materials will be uninterrupted, timely, secure, accurate, complete, or error-free; (ii) any errors, defects, or technical problems will be corrected; (iii) the Site or the servers hosting it are free of viruses, malware, or other harmful components; (iv) any data transmission will be secure; (v) any content, information, or materials (including AI-generated content) available through the Site will be accurate, reliable, complete, or current, notwithstanding any quality control measures that may be implemented; or (vi) the results of using the Site or Site Materials will meet visitors' requirements or expectations. No advice, information, or statement made by the Company Parties, whether oral or written, shall create any warranty not expressly stated in this agreement.

9. Liability

To the maximum extent permitted under Cyprus law and any other applicable laws and regulations, under no circumstances shall the Company, its officers, directors, employees, or agents be liable to any Visitor for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from any:

  • Errors, mistakes, or inaccuracies of content;
  • Personal injury or property damage, of any nature whatsoever, resulting from your access to and use of our Site;
  • Unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein;
  • Interruption or cessation of transmission to or from our Site;
  • Bugs, viruses, Trojan horses, or the like, which may be transmitted to or through our Site by any third party; and/or
  • Errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available via the Site.

This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if The Company has been advised of the possibility of such damage. The Company specifically disclaims any liability for errors, inaccuracies, or omissions in AI-generated content or third-party content available through the Site. The foregoing limitation of liability shall apply to the fullest extent permitted by Cyprus law and any other applicable laws, regardless of whether you later enter into any other agreement with the Company, unless such agreement explicitly modifies these liability limitations.

The Company makes no representations that the Site is appropriate or available for use in other locations.

10. Indemnification

You irrevocably agree to defend, indemnify and hold harmless the Company, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all losses, liabilities, claims, expenses, damages, and costs, including reasonable attorneys' fees and court costs, resulting from: (i) any violation of these Terms; (ii) any activity related to the Visitor's use of the Site, including Support Requests, newsletter subscriptions, expressions of interest in Services, and access to or use of Resources; (iii) any negligent or wrongful conduct by the Visitor; (iv) any unauthorized access to the Site using the Visitor's information; (v) any violation of applicable laws, including AI regulations, or third-party rights in connection with the Site use; or (vi) any actions taken or decisions made based on the content provided through the STACK Blog or AI-generated responses.

The Company reserves the right, in its sole and absolute discretion, to restrict, suspend, terminate, or block access to the Site and its features (including Support Requests, newsletter subscriptions, and access to Resources) or Services, at any time, without prior notice or liability, for any violation of these Terms, suspected fraudulent activity, or any other reason the Company deems appropriate. Upon such restriction, your right to access the Site's content and features will immediately cease, though you may still be bound by any MSA, SaaS, Sow or any other agreements separately executed with the Company in relation to the Services. Any such restriction shall not affect your obligations under these Terms or any subsequent agreement with the Company.

All provisions of the Terms which by their nature should survive termination shall survive termination and remain in effect alongside any future agreements, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. In the event of any conflict between these Terms and any subsequent agreement, the terms of the subsequent agreement shall prevail to the extent of such conflict.

11. Governing Law

These Terms and any dispute about them or your use of the Site or Services, shall be governed by the laws of the Republic of Cyprus, without applying Cyprus conflict‑of‑law rules. Any claim, lawsuit, or other legal proceeding related to these Terms must be brought exclusively in the courts of the Republic of Cyprus, and you and the Company agree that those courts have sole authority to decide such matters. This choice of law and jurisdiction shall apply to these Terms independently of any governing law and jurisdiction provisions in subsequent agreements between the Visitor and the Company, which shall govern the specific matters covered by such agreements.

12. Miscellaneous

12.1 Communications

For any official communications with the Company ("Official Communications"), Visitors must either use the designated communication channels available on the Site or send an email to info@efficientstack.com or such other email address as may be notified by the Company from time to time.

Each communication must clearly state, at minimum: (i) the nature of the inquiry or request, (ii) the Visitor's full legal name as it appears in official documents, (iii) valid contact details including email address and phone number, and (iv) any other information necessary to verify the Visitor's identity.

For newsletter unsubscription requests, Visitors may use the unsubscribe button provided in each newsletter. The Company reserves the right to verify the identity of any person making such communications and may decline to process requests that lack adequate identification information or that The Company believes to be fraudulent or harmful. The Company shall not be liable for any delay, non-response, or rejection of requests.

12.2 Severability

If any provision of these Terms or their application in conjunction with any subsequent agreement is determined to be unlawful, void, or unenforceable by any court or regulatory authority of competent jurisdiction in the Republic of Cyprus, that provision shall be deemed severable and shall be reformed to the minimum extent necessary to make such provision valid and enforceable under Cyprus law, or if reformation is not possible, shall be deleted, provided that such deletion does not materially affect the commercial essence and enforceability of these Terms or any related agreement. The remaining provisions shall continue to be binding and enforceable under Cyprus law.

12.3 Waiver

No failure or delay by the Company in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right, power, or privilege under these Terms.

No waiver by the Company shall be effective unless explicitly made in writing and signed by a duly authorized representative of The Company, in accordance with Cyprus law requirements for corporate representations.

Any waiver of any provision of these Terms shall be effective only in the specific instance and for the specific purpose for which it was given and shall not constitute a continuing waiver or establish a course of dealing. The Company's rights and remedies under these Terms are cumulative and not exclusive of any rights or remedies provided by law.
